1. Acceptance of Terms

By using QuoteJunction, you confirm that:

  • You are at least 18 years old or have parental consent
  • You have the legal capacity to enter into these Terms
  • You will comply with all applicable laws and regulations
  • All information you provide is accurate and truthful

If you do not agree to these Terms, you may not use QuoteJunction.

2. Description of Service

QuoteJunction is an AI-powered lead management platform that helps contractors capture, qualify, and manage customer inquiries through automated chatbots.

For Quote Requesters (End Users)

  • Access AI chatbots to request quotes from contractors
  • Provide project details through conversational interface
  • Receive follow-up from contractors based on your request

For Contractors (Subscribers)

  • Create branded AI chatbot for lead capture
  • Receive and manage leads through admin dashboard
  • Receive email and SMS notifications for new inquiries (optional)
  • Track leads through sales pipeline
  • Access analytics and revenue tracking
  • Customize chatbot behavior and messaging

3. Account Registration and Security

Contractor Accounts

  • You must create an account to use QuoteJunction as a contractor
  • You are responsible for maintaining the confidentiality of your account credentials
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access
  • We reserve the right to suspend or terminate accounts that violate these Terms

Prohibited Account Activities

  • Creating multiple accounts to circumvent restrictions
  • Sharing account credentials with unauthorized parties
  • Using someone else’s account without permission
  • Automated account creation or bot activity

4. Email and SMS Notifications

Email Notifications

Delivery Not Guaranteed

QuoteJunction provides email notification services as a convenience to help you receive timely alerts about new leads and customer inquiries. However, we cannot guarantee the delivery, timing, or receipt of these notifications due to factors beyond our control, including but not limited to:

  • Email service provider filtering or blocking
  • Spam/junk folder filtering by recipient email systems
  • Recipient email configuration issues
  • Internet connectivity issues
  • Third-party service interruptions (Resend or other email providers)
  • Firewall or security settings

Your Responsibility

You are solely responsible for:

  • Regularly checking your QuoteJunction admin dashboard for new leads
  • Configuring your email client to accept emails from our notification addresses
  • Whitelisting our email domains (quotejunction.com, resend.dev)
  • Checking your spam/junk folders regularly
  • Ensuring your notification email address is correct and active
  • Monitoring your account for missed notifications

No Liability for Missed Notifications

QuoteJunction shall not be held liable for:

  • Missed business opportunities due to undelivered or delayed email notifications
  • Lost revenue from leads not received via email
  • Emails marked as spam or filtered by your provider
  • Any damages resulting from notification delivery failures

Transactional vs. Marketing Emails

By creating an account, you consent to receive:

  • Transactional emails (required): Account notifications, lead alerts, security updates, billing notices
  • Marketing emails (optional): Product updates, tips, promotional content

You may opt out of marketing emails but cannot opt out of essential service emails. Adjust email preferences in your account settings.

SMS Notifications for Contractors

Opt-In Required

SMS notifications are optional and require explicit consent. By enabling SMS notifications and checking the consent box during signup or in your settings:

  • You consent to receive automated text messages about new lead notifications and platform updates
  • Message frequency varies based on lead volume (typically 1-10 per month)
  • Message and data rates may apply based on your carrier plan
  • You can opt out at any time by replying STOP to any message or disabling SMS in settings
  • You can reply HELP for assistance
  • Reply START to resubscribe after opting out
  • Supported carriers: All major US carriers
  • We use Twilio to send SMS messages

SMS Delivery Not Guaranteed

Similar to email, we cannot guarantee SMS delivery due to:

  • SMS carrier delivery limitations or delays
  • Phone number validity or activation status
  • Carrier network outages
  • Phone settings or blocking
  • Third-party service issues (Twilio)

Important SMS Terms

  • Consent is not a condition of using QuoteJunction (you can use the platform without SMS)
  • Opting out will disable SMS notifications but not affect other platform features
  • We will not share your phone number with third parties except our SMS service provider (Twilio)
  • You remain responsible for checking your dashboard even with SMS enabled

Your Responsibility

You are solely responsible for:

  • Providing a valid, active phone number
  • Ensuring your phone can receive SMS messages
  • Monitoring your QuoteJunction dashboard as the primary source of lead information
  • Understanding that SMS is a convenience feature, not a guaranteed service

No Liability for Missed SMS

QuoteJunction shall not be held liable for:

  • Missed business opportunities due to undelivered or delayed SMS notifications
  • Lost revenue from leads not received via SMS
  • SMS messages blocked by your carrier or phone
  • Carrier charges for received messages
  • Any damages resulting from SMS delivery failures

Third-Party Service Providers

We use third-party services to deliver notifications:

  • Email: Resend (resend.com)
  • SMS: Twilio (twilio.com)

These services have their own terms, privacy policies, and delivery rates that may affect notification delivery. We are not responsible for failures or issues caused by these third-party providers.

Best Practices for Reliable Notifications

We strongly recommend:

  • Adding noreply@quotejunction.com to your email contacts/safe senders list
  • Whitelisting quotejunction.com and resend.dev email domains
  • Checking your spam/junk folder if you don’t receive notifications within 1 hour
  • Logging into your QuoteJunction dashboard daily to check for new leads
  • Configuring email rules to ensure notifications reach your inbox
  • Testing notifications after signup to verify delivery
  • Not relying solely on email or SMS – always check your dashboard

The QuoteJunction admin dashboard is the authoritative source for all leads. Email and SMS notifications are supplementary conveniences only.

5. Acceptable Use Policy

You May Not Use QuoteJunction To:

  • Violate any local, state, national, or international law
  • Infringe on intellectual property rights
  • Transmit harmful or malicious code
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Impersonate another person or entity
  • Collect information about users without consent
  • Send spam, unsolicited communications, or fraudulent messages
  • Post false, misleading, or defamatory content

For Contractors Specifically:

  • Misrepresent your qualifications, licenses, or credentials
  • Provide false pricing or service information
  • Discriminate based on protected characteristics
  • Use the platform for any purpose other than legitimate contracting services
  • Harass or abuse customers who submit inquiries

6. AI Chatbot and Content

AI-Generated Responses

  • QuoteJunction uses AI (Claude Sonnet 3.5, Mistral, or similar models via OpenRouter) to power chatbot conversations
  • AI responses are generated automatically and may not always be accurate or complete
  • We are not responsible for AI errors, inaccuracies, or inappropriate responses
  • Contractors should review all AI-collected information before responding to leads
  • Lead scoring and qualification are automated estimates only – you must verify lead quality yourself

Content Ownership

  • Your Content: You retain ownership of information you provide (project details, company information, customer data, etc.)
  • Our Platform: QuoteJunction retains all rights to the platform, AI technology, software, and algorithms
  • License Grant: By using QuoteJunction, you grant us a worldwide, non-exclusive, royalty-free license to use your content to:
    • Provide and improve the service
    • Train and improve our AI models
    • Generate analytics and insights
    • Comply with legal obligations

Prohibited Content

Do not submit content that is:

  • Illegal, harmful, or promotes violence
  • Defamatory, harassing, or discriminatory
  • Pornographic or sexually explicit
  • Spam or commercial solicitation unrelated to contracting services
  • Infringing on intellectual property rights
  • Violating privacy or data protection laws

7. Fees and Payment

Subscription Plans

  • Contractor accounts require a paid subscription
  • Pricing is displayed at quotejunction.com/pricing and may change with 30 days’ notice
  • Fees are billed monthly or annually as selected during checkout
  • Payment is processed securely through Stripe
  • All fees are in U.S. Dollars (USD)

Free Trial

  • New accounts may receive a free trial period (duration specified at signup)
  • No credit card required during trial (if applicable)
  • You may cancel anytime during the trial with no charges
  • After trial, your selected subscription will begin automatically

Billing and Renewals

  • Subscriptions automatically renew at the end of each billing period
  • You authorize us to charge your payment method on file
  • You are responsible for keeping payment information current
  • We will notify you before charging for renewals

Refund Policy

  • Subscription fees are non-refundable except as required by law or stated in promotional offers
  • You may cancel your subscription at any time – cancellation takes effect at the end of the current billing period
  • No prorated refunds for partial months or early cancellation
  • If you believe you were charged in error, contact us within 30 days at info@quotejunction.com

Late Payment and Suspension

  • Failure to pay may result in immediate service suspension or termination
  • You remain responsible for all fees incurred during your use of the service
  • We may use third-party collection services to recover unpaid fees
  • A $10 fee may apply for failed payment attempts

Price Changes

  • We may change subscription prices with 30 days’ notice
  • Price changes will not affect your current billing period
  • Continued use after price change constitutes acceptance
  • You may cancel before the new price takes effect

8. Service Availability and Maintenance

Uptime

QuoteJunction strives to maintain high uptime and service availability, but we do not guarantee uninterrupted access to the Service. We are not liable for:

  • Scheduled or emergency maintenance downtime
  • Third-party service outages (hosting providers, database services, AI providers, email/SMS services)
  • Internet connectivity issues
  • Distributed Denial of Service (DDoS) attacks or security incidents
  • Force majeure events beyond our reasonable control (natural disasters, wars, pandemics, etc.)

Maintenance Windows

  • We may perform scheduled maintenance with advance notice when possible
  • Emergency maintenance may occur without notice
  • During maintenance, some or all features may be unavailable

Users should not rely solely on QuoteJunction notifications for time-sensitive business operations. Always have backup methods for monitoring leads.

9. Data and Privacy

Your privacy is important to us. Our use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • We use industry-standard encryption and security measures to protect your data
  • We share data with third-party services as necessary to provide the service:
    • AI providers (OpenRouter, Mistral AI)
    • SMS service (Twilio)

    • Payment processing (Stripe)
  • You have rights to access, correct, export, and delete your data
  • We retain data as specified in our Privacy Policy
  • We comply with GDPR, CCPA, and other applicable data protection laws

Data Security

While we implement reasonable security measures, no system is 100% secure. You acknowledge that:

  • Data transmission over the internet is not completely secure
  • Unauthorized access, hardware failure, or other factors may compromise data
  • You use QuoteJunction at your own risk regarding data security

10. Disclaimers and Limitations of Liability

Service “As Is”

QUOTEJUNCTION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties of accuracy, reliability, completeness, or quality
  • Warranties of uninterrupted, timely, secure, or error-free service
  • Warranties that defects will be corrected
  • Warranties regarding AI accuracy or lead quality

No Guarantee of Results

We do not guarantee:

  • That contractors will receive leads or any specific number of leads
  • That quote requesters will receive responses from contractors
  • The quality, accuracy, or reliability of contractor services
  • The success rate of lead conversion or revenue generation
  • That AI chatbot responses will be error-free or appropriate
  • That email or SMS notifications will be delivered
  • That lead scoring will accurately predict conversion likelihood

Not Professional Services

QuoteJunction is a software platform only. We do not provide:

  • Business consulting, legal, financial, or tax advice
  • Contracting, construction, or project management expertise
  • Project estimation, pricing guidance, or warranty advice
  • Professional licensing or certification

Any content, suggestions, analytics, or AI-generated information provided by the Service are for informational purposes only. You are solely responsible for your business decisions, professional obligations, and compliance with applicable laws and regulations.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • QuoteJunction and its officers, directors, employees, agents, suppliers, and affiliates are not liable for any indirect, incidental, special, consequential, or punitive damages
  • This includes damages for:
    • Lost profits, revenue, or business opportunities
    • Loss of data or business information
    • Business interruption
    • Cost of substitute services
    • Missed leads or notification delivery failures
    • AI errors or inaccuracies
  • Our total aggregate liability is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater
  • Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you

Contractor-Customer Relationships

QuoteJunction is a platform connecting contractors and customers. We are not a party to any agreements between contractors and their customers.

  • We are not responsible for disputes, conflicts, or issues between contractors and customers
  • Contractors are independent businesses, not employees, agents, or representatives of QuoteJunction
  • All contracts, warranties, guarantees, and liabilities are between contractors and their customers
  • We do not vet, verify, or endorse contractors
  • Customers use contractors at their own risk

Lead Quality and Accuracy

  • Lead scoring (A/B/C/D ratings) is automated and may not accurately predict lead quality
  • AI-collected information may be incomplete, inaccurate, or misunderstood
  • You are responsible for verifying all lead information before acting on it
  • We are not liable for low-quality leads, fake inquiries, spam, or time-wasters

11. Indemnification

You agree to indemnify, defend, and hold harmless QuoteJunction, its officers, directors, employees, agents, affiliates, and service providers from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms or our Acceptable Use Policy
  • Your violation of any rights of another party (intellectual property, privacy, etc.)
  • Your provision of false, misleading, or inaccurate information
  • Services you provide as a contractor to your customers
  • Disputes between you and your customers
  • Your violation of applicable laws or regulations
  • Content you submit to the platform
  • Unauthorized access to your account resulting from your failure to secure credentials

This indemnification obligation survives termination of your account and these Terms.

12. Termination

By You

  • You may cancel your account at any time through your account settings or by contacting us
  • Cancellation takes effect at the end of your current billing period
  • You will retain access until the end of the paid period
  • You remain responsible for all charges incurred before cancellation
  • Upon cancellation, you may export your data within 30 days

By Us

We may suspend or terminate your account immediately and without notice if:

  • You violate these Terms, our Acceptable Use Policy, or our Privacy Policy
  • You engage in fraudulent, abusive, or illegal activity
  • You fail to pay fees when due
  • Your account has been inactive for 12+ months
  • We are required to do so by law or legal process
  • We discontinue the Service (with 30 days’ notice when possible)
  • We reasonably believe termination is necessary to protect our systems, other users, or third parties

Effect of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • Your subscription will not be renewed
  • Your chatbot will be disabled and unavailable to customers
  • We may delete your data after 90 days (unless legally required to retain it)
  • You remain liable for all charges and obligations incurred before termination
  • Provisions that should survive termination will continue to apply (indemnification, limitations of liability, dispute resolution, etc.)

You may request an export of your data within 30 days of termination by contacting us at info@quotejunction.com.

13. Intellectual Property

Our Intellectual Property

QuoteJunction and its licensors own all rights, title, and interest in and to:

  • The QuoteJunction platform, website, and software (including source code, object code, and algorithms)
  • QuoteJunction trademarks, logos, service marks, and branding
  • AI technology, models, prompts, and algorithms
  • Documentation, user interfaces, and designs
  • All improvements, modifications, and derivative works

Your License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use QuoteJunction for its intended purpose during your subscription term.

You may not:

  • Reverse engineer, decompile, disassemble, or attempt to derive source code
  • Modify, adapt, translate, or create derivative works
  • Remove, alter, or obscure copyright, trademark, or proprietary notices
  • Use our trademarks, logos, or branding without prior written permission
  • Copy, reproduce, distribute, or publicly display any part of the Service
  • Rent, lease, sell, sublicense, or transfer your rights
  • Use the Service to build a competitive product or service
  • Frame or mirror any part of the Service
  • Use automated tools to access the Service (except approved APIs)

Feedback

If you provide feedback, suggestions, or ideas about QuoteJunction:

  • We may use them without obligation or compensation to you
  • You grant us a perpetual, worldwide, royalty-free license to use them
  • We are not required to keep them confidential

DMCA and Copyright Infringement

Third-Party Terms:

  • Your use of third-party services is subject to their terms
  • We are not responsible for third-party services, their availability, or their practices
  • We do not endorse or guarantee third-party services
  • Links to external websites are provided for convenience only

Integration Risks:

  • Third-party service outages may affect QuoteJunction functionality
  • Changes to third-party APIs may impact features
  • We may change or discontinue third-party integrations at any time

15. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. You consent to the exclusive jurisdiction of courts located in Suffolk County, New York for any disputes not subject to arbitration.

Informal Resolution

Before initiating any legal proceedings, you agree to contact us at info@quotejunction.com to attempt informal resolution. We will work in good faith to resolve the dispute within 30 days.

Binding Arbitration

Any disputes, claims, or controversies arising from these Terms or your use of QuoteJunction will be resolved through binding arbitration rather than in court, except:

  • Small claims court matters (claims under $10,000)
  • Disputes related to intellectual property infringement
  • Requests for injunctive or equitable relief

Arbitration Rules:

  • Conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
  • Arbitrator’s decision is final and binding
  • Each party bears their own attorney’s fees unless the arbitrator decides otherwise
  • Arbitration will be conducted remotely or in Suffolk County, New York

Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES INDIVIDUALLY AND WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE PROCEEDINGS. This means:

  • You cannot bring claims on behalf of other users
  • You cannot join claims with other users
  • You cannot act as a class representative or member
  • The arbitrator may not consolidate claims without consent

If the class action waiver is found unenforceable, the arbitration agreement will not apply.

Exceptions to Arbitration

Either party may seek injunctive relief in court to:

  • Protect intellectual property rights
  • Prevent ongoing harm
  • Enforce confidentiality obligations

Opt-Out Right

You may opt out of arbitration within 30 days of first accepting these Terms by emailing info@quotejunction.com with:

  • Your name and email address
  • A clear statement that you wish to opt out of arbitration

Opting out does not affect any other provisions of these Terms.

16. Modifications to Terms

We may modify these Terms at any time. Changes will be effective:

  • Immediately upon posting for non-material changes (clarifications, formatting, etc.)
  • 30 days after notice for material changes (fee changes, liability changes, etc.)

We will notify you of material changes via:

  • Email to your registered address
  • Prominent notice on the QuoteJunction platform
  • Update to the “Last Updated” date at the top of this page

Continued use after changes constitutes acceptance. If you do not agree to modified Terms:

  • You must stop using QuoteJunction
  • You must cancel your account before the effective date
  • Cancellation will not waive fees owed for the current billing period

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements you enter into with QuoteJunction (e.g., service agreements), constitute the entire agreement between you and QuoteJunction. They supersede all prior agreements, communications, and understandings.

Severability

If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of QuoteJunction.

Assignment

You may not assign, transfer, or delegate these Terms or your account without our prior written consent. Any attempted assignment without consent is void.

We may assign these Terms to any successor, affiliate, or acquirer without your consent (e.g., in the event of a merger, acquisition, or sale of assets).

Force Majeure

We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including:

  • Natural disasters (earthquakes, floods, fires, hurricanes)
  • Wars, terrorism, civil unrest, or government actions
  • Pandemics or public health emergencies
  • Internet or telecommunications failures
  • Third-party service provider outages
  • Cyberattacks or security incidents
  • Labor disputes or strikes

Headings

Section headings are for convenience only and do not affect the interpretation of these Terms.

Independent Contractors

Nothing in these Terms creates a partnership, joint venture, employment, agency, franchise, or representative relationship between you and QuoteJunction. You are an independent contractor.

Language

These Terms are written in English. Any translations are provided for convenience. In the event of conflict, the English version controls.

Survival

The following provisions survive termination of these Terms:

  • Payment obligations
  • Indemnification
  • Limitations of liability
  • Disclaimers
  • Dispute resolution
  • Intellectual property
  • General provisions

To You: We may send notices via email to your registered email address or by posting on the QuoteJunction platform. You are responsible for keeping your email address current.
